REFER A FRIEND PROGRAM TERMS AND CONDITIONS

I. GENERAL

a. The REFER A FRIEND PROGRAM (“Program”) is open to adult smokers 18 years old (as of the date of his/her participation in the Program) and above residing in the Philippines who otherwise wish to continue to use tobacco or nicotine containing products, and only to members of ZYN Club with a successfully registered ZYN device at ZYN.com (“Participants”).

b. ZYN Stores are operated by ActivAsia Inc. (or "AAI").  ZYN.com is owned by Philip Morris International and its affiliate in the Philippines, PMFTC Inc ("PMFTC"). The online store of ZYN.com is operated by AAI, and all orders are fulfilled by AAI, as an authorized distributor of PMFTC products sold in ZYN Stores and ZYN.com. Deliveries are carried out by AAI or by AAI’s authorized third-party delivery providers. This Program is being carried out by AAI as an authorized distributor of PMFTC products.

c. The Program period is from June 5, 2020 to December 31, 2023. PMFTC/AAI has the sole discretion to shorten or extend the Program period if circumstances so warrant.

d. PMFTC/AAI reserves the right to modify, change, or revise the rules and mechanics of the Program.

e. Participants who use multiple ZYN.com or ZYN accounts to participate in the Program will be disqualified. PMFTC/AAI reserves the right to disqualify any Participant if there is any evidence of fraud or irregularities in his/her participation in the Program.

f. PMFTC/AAI reserves the right to hold, suspend or block a Participant’s ZYN Club, ZYN.com and or ZYN account due to suspicious, fraudulent, or illegal activity.

g. PMFTC/AAI reserves the right to cancel, amend, or revoke this Program without notice in the event of fraudulent activity, cheating, a security breach or any anticipated breach of any applicable law or regulation, an event or disturbance outside of PMFTC/AAI’s control such as acts of God, civil or military events, catastrophes, technical issues/connectivity, pandemic, or war. Any changes to the Program will be announced accordingly.

h. This product is not risk free and provides nicotine, which is addictive. Only for use by adults 18 years old and above who would otherwise continue to smoke or use other nicotine products.  Please visit ZYN.com to find out more about Philip Morris International's Good Conversion Practices.

i. By participating in the Program, Participant(s) confirms his/her consent to process his/her personal data provided as part of the Program. Details of such processing are described in Philip Morris International’s (PMI) Consumer Privacy Notice found at https://www.pmiprivacy.com/en/consumer and AAI’s Data Privacy Consent Policy.

II. MECHANICS

a. Definition of terms:

i. Referrer – a Participant that is an existing ZYN Club member who is at least eighteen (18) years old or older and residing in the Philippines, with a successfully registered BONDS by ZYN or ZYN Device Kit who shares his/her unique code to a Referral

ii. Referral – an adult smoker or nicotine product user who is at least eighteen (18) years old or older and residing in the Philippines, is not yet a BONDS by ZYN or ZYN user, who otherwise wish to continue to use tobacco products or nicotine-containing products, and purchases their first BONDS by ZYN or ZYN Device Kit using the unique code shared by the Referrer. In addition, a Referral should not have a pre-existing ZYN.com or ZYN account and should have no purchase history in ZYN.com, ZYN Stores or ZYN Coaches

b. Referrer will be provided a unique code upon creation of an ZYN or ZYN.com account, and/or membership in ZYN Club through successful registration of his/her BONDS by ZYN or ZYN Device Kit using a valid serial number.

c. Referrer can share his/her unique code to their Referral(s).

d. Effective January 19, 2022, the standard offer for the Program shall be as follows:

e. With a valid unique code, the Referral will be given an ZYN Store voucher with the that can only be used to purchase his/her first BONDS by ZYN or ZYN Device Kit.  The value of the ZYN Store voucher varies and is subject to the Device Kit that will be purchased in any of the following points-of-sale as indicated in section II.4:

i. Official ZYN Stores

ii. ZYN.com (online store)

iii. ZYN Coaches

ZYN Store vouchers can be in physical or electronic/digital formats.

f. The Referral must present the Referrer’s unique code for validation before it can be used to purchase a BONDS by ZYN or ZYN Device Kit to ZYN Coaches or in ZYN Stores, or by inputting the unique code in the promo section of the check-out page in ZYN.com.

g. A Referral can only use one valid unique code and can only receive one ZYN Store voucher to be used solely for the purchase of his/her first BONDS by ZYN or ZYN Device Kit. In case of suspicious, illegal or fraudulent activities with respect to the use of the discount code, PMFTC/AAI reserves the right to hold, suspend or block a Participant’s ZYN or ZYN.com account or cancel the transaction.

h. The Referral cannot use the unique code in combination with other promotions, special offers or vouchers, except for the BONDS by ZYN or ZYN Starter Kit.

i. The Referral will be subject to age verification process wherein he/she will be requested to submit a valid Government Issued ID before the discounted BONDS by ZYN or ZYN Device Kit can be purchased. The following valid Government Issued IDs as proof of age:  Passport, Alien Certificate of Registration, Driver’s License, Firearms License, NBI Clearance Card, Philhealth ID, Postal ID, PRC ID, SSS ID, TIN ID, Unified Multi-Purpose ID or Voter’s ID.

j. The Referrer will also be rewarded with an ZYN Store voucher for every successful purchase of a Referral using the Referrer’s unique code.

i. The value of the Referrer’s ZYN Store voucher is varies and is subject to the Device Kit that the Referral will purchase as indicated in section II.4:

ii. The Referrer may be rewarded with the ZYN Store voucher for a maximum of twenty (20) unique and successful transactions using his/her unique code

k. The reward notification will be sent to the Referrer’s nominated email address and/or mobile number.  It is the responsibility of the Referrer to update his/her personal details in their ZYN.com account to ensure timely receipt of the confirmation notice or message.  PMFTC shall not be liable for any failure a Referrer or Referral to redeem or use any voucher and will not refund any voucher due to non-receipt by the Referrer of the confirmation notice or message, if sent to his/her registered email address or mobile number.

l. The Store voucher for the Referrer can only be used in the following points-of-sale:

i. Official ZYN Stores

ii. ZYN.com

iii. ZYN Coaches

m. The ZYN Store voucher can only be used in full in a single transaction.  Any amount not used cannot be exchanged for cash or another ZYN Store voucher and will be automatically forfeited.

n. The Referrer is entitled to a free pack of BLENDS™ or HEETS™ for every use of the ZYN Store voucher (variant is subject to availability) to be given upon completion of purchase transaction or successful delivery.

o. The issuance of ZYN Store vouchers for Referrers may be subject to possible delays due to technical and system limitations. We will issue the necessary notice in ZYN.com if such is the case.

p. The Referrer’s ZYN Store vouchers cannot be combined with other special offers, promotions or vouchers, and must be used within sixty (60) days from date of issuance of the voucher.

q. For orders using the ZYN Store vouchers that lead to failed transactions (e.g. order cancellation, failed payment, failed delivery, etc), Participants may request for a one-time replacement ZYN Store voucher from ZYN Customer Care, subject to the following:

i. Review of the failed transaction (e.g. accidental order cancellation, unavailability of the Participant during delivery, etc) and the value of the ZYN Store voucher that was used unsuccessfully

ii. Participant’s eligibility and compliance with the requirements stated in Section I.1

If still eligible to use the ZYN Store voucher, ZYN Customer Care will send the replacement ZYN Store voucher to the Participant’s nominated email address as reflected in ZYN.com.  It is the responsibility of the Participant to update his/her personal details in their ZYN.com account to ensure timely receipt of the replacement ZYN Store voucher.  PMFTC shall not be liable for any failure of a Participant to redeem or use the ZYN Store voucher, and will not refund the ZYN Store voucher due to non-receipt by the Participant of the replacement ZYN Store voucher, if sent to his/her registered email address.

r. The ZYN Store vouchers for Referrer is not transferable and not convertible to cash.

III. TOGETHER X REFER A FRIEND OFFER

a. The Together X Refer a Friend Offer is open to adult smokers 18 years old (as of the date of promo) who otherwise wish to continue to use tobacco or nicotine containing products. The Together X Refer a Friend Offer is a sub-set or part of the ‘Refer a Friend Standard Promo’ with defined mechanics and terms and conditions. The Together X Refer a Friend Offer is an exclusive offer in ZYN Stores aimed to delight referrals and referrers with freebies (ZYN accessories).

b. From June 21, 2023 to July 31, 2023 or until supplies last, a referrer and referral is eligible to get a free accessory offer on top of the standard offer in section II.d.

* Must be legal age smoker or nicotine product users 18 years old and above residing within identified cities in the Philippines.

c. As part of the Together X Refer a Friend Offer, the following conditions apply on the use of the Referrer & Referral’s Free accessory reward:

i. Referral/ Referrer must be opt in to ZYN Club. This will be validated by the coach through CeAP in store.

ii. Referral/ Referrer must follow the ZYN Philippines Facebook page. User must show proof of liking the ZYN Philippines Facebook page to the store coach.

iii. The Referrer’s ZYN Store Voucher(s) cannot be combined with other special offers, promotions, or vouchers.

iv. The referrer and the referral is entitled to a maximum of one free accessory redeemed during the promo period only of the Together X Refer a Friend Offer.

d. The free accessory is subject to change – depending on the availability in store.

e. In case of suspicious, illegal, or fraudulent activities with respect to the use of the discount code, PMFTC/AAI reserves the right to hold, suspend or block a Participant’s ZYN or ZYN.com account or cancel the transaction.

IV. DELIVERY (for https://www.dev.zyn.com/ online store)

a. Participant will be subject to age verification process where he/she will be required to present a valid Government Issued ID before the Program offer (BONDS by ZYN or ZYN Device Kit and BLENDS™ or HEETS™ packs) can be claimed.

b. To facilitate the purchase and delivery from https://www.stg.zyn.com/, Participant must present any of the following valid Government Issued IDs as proof of age:  Passport, Alien Certificate of Registration, Driver’s License, Firearms License, NBI Clearance Card, Philhealth ID, Postal ID, PRC ID, SSS ID, TIN ID, Unified Multi-Purpose ID or Voter’s ID.

c. In cases where Participant cannot accept the delivery, an authorized representative who is at least eighteen (18) years old and above can claim on behalf of the Participant provided the following documents are presented to the courier:

i. Valid government issued ID of representative for identity check and age verification

ii. Copy of a valid government issued ID of Participant for identity check and age verification

iii. Signed authorization letter stating that the Participant is authorizing the representative to receive the BONDS by ZYN or ZYN Device Kit and BLENDS™ or HEETS™ packs and order reference number.

The courier will not be able to deliver the Employee or Referral’s BONDS by ZYN or ZYN Device Kit and BLENDS™ or HEETS™ packs if any of the above-required documents are not presented.

d. For deliveries, the courier will communicate and coordinate details, with delivery attempt at a maximum of two (2) times A third delivery attempt will be available in selected cities that offer same/next day delivery; and can be arranged with an additional delivery fee that will be communicated in advance by AAI/courier, and to be confirmed by the Participant. In the event of failure to receive the delivery for credit card or GCash transactions, normal refund process will be followed:

i. For credit card transactions:

1. For Credit Cards issued locally: Refund will take up to 10 working days but also subject to issuing bank lead times

2. For Credit Cards issued abroad: Refund will take up to 45 days, but also subject to issuing bank lead times

You may check the status of your refund with your issuing bank.

ii. For GCash transactions, refund must be coursed through ZYN Customer Care team. The Participant shall call ZYN Customer Care team to trigger the refund process and will be able to credit back to the Participant’s GCash account real time.

e. In instances of non-eligibility of the Participant to avail of the Program, Participants who opted to pay in credit or through GCash will follow standard refund process as stated in Section III.4.a – b.

V. OTHERS

a. All decisions of PMFTC and/or its authorized representatives in all matters relating to the interpretation and implementation of this mechanics are final, and no objections and/or appeals thereon will be entertained.

b. Participants availing of the Program agree and confirm the following:

i. That they are a legal-age smoker or user of nicotine-containing products, 18 years old or above as of the date of their participation in the Program;

ii. That they have read and understood the terms and conditions detailed herein;

iii. That they agree to follow the applicable mechanics of the Program;

iv. That they agree to assume all such risks, foreseeable or otherwise, and hereby release and discharge PMFTC, its affiliates and all other persons and entities connected with the Program from any liability for, or any claims that may arise in respect of, any and all property losses and/or injuries whatsoever that you may sustain, no matter how any such property losses and/or injuries are caused.

v. That they are liable for the loss or damage or tampering of the BONDS by ZYN or an ZYN Device Kit they will use as part of the Program.

c. PMFTC will only shoulder final withholding taxes on prizes amounting to more than Php10,000 except as expressly provided herein. PMFTC will not be liable to the Participants for any taxes, costs, liabilities or expenses that may arise from this Program.
